No Guarantee
Health Force does not guarantee that you will receive any employment or job offers through the Health Force Sites and is neither your employer nor your agent based solely on your usage of the Health Force Sites.
Restricted Sites; Registered Users
Access to certain parts of the Health Force Sites, including the Health Force portal, is restricted and reserved for Registered Users who have a legitimate business need related to Health Force and have been granted access by Health Force through an account, username, or password. These restricted areas are collectively referred to as the "Restricted Sites."You acknowledge that the entirety of the Restricted Sites, including their design, source code, databases, content, and any data or materials stored, generated, created, or transmitted through them, constitute Confidential Information as defined below. Your use of and access to the Restricted Sites are strictly limited to the extent that such access and use are directly related to an existing or potential employment relationship with Health Force or an existing or potential business relationship or agreement between you and Health Force. These authorized uses are referred to as (the “Permitted Uses”).Any username or password that you use to access the Restricted Sites is considered Confidential Information, as defined below. You agree not to use another Registered User's username and password and not to permit anyone other than your employees or agents to use your username or password. You are solely responsible for all activities carried out using your username or password. In the event of any loss or theft of your username or password, or if you become aware of any unauthorized use, you must promptly notify Health Force. Failure to comply with these obligations may result in loss or damage for which Health Force is not liable. Health Force reserves the right to reset, lock, delete, or suspend your account or login credentials at any time and for any reason. It is your responsibility to inform Health Force promptly if your relationship with any employee or agent who had access to the Restricted Sites is terminated, so that passwords can be updated or accounts disabled.
Push Notifications
By downloading the App, you may receive Push Notifications, which can include alerts, badges, banners, and sounds, either within the App or outside of it. If you agree to receive Push Notifications, the App will generate them on your mobile device. You have the ability to control the settings for Push Notifications on your device.Please note that some of the Push Notifications may be based on your location. It's important to be aware that your mobile carrier may apply standard data charges and other fees for the use of Push Notifications. These fees may appear on your mobile bill or be deducted from your pre-paid balance. Additionally, your carrier may have restrictions or limitations on certain types of Push Notifications, and there may be compatibility issues between certain Push Notifications and your carrier or mobile device. If you have any questions about these matters, we recommend contacting your mobile carrier for clarification. If you no longer wish to receive Push Notifications, you can adjust the settings on your device or delete the App. It's worth noting that we may collect information related to your usage of Push Notifications in accordance with our privacy practices.
Confidential Information
When accessing or using the Restricted Sites, you may have the ability to interact with various types of information, documents, or materials that are considered confidential ("Confidential Information"). This Confidential Information includes but is not limited to:1. Information pertaining to Health Force's business, customers, agents, employees, or subcontractors, such as marketing materials, job orders, and personal identifying information.2. Private or sensitive information related to healthcare professionals and other workers provided by Health Force, its affiliates, agents, or subcontractors. This may include personnel records, medical data, financial information, credentialing documents, or other compliance records.You agree to utilize Confidential Information only for lawful purposes and in alignment with the Permitted Uses or any other usage permitted by law. Access to Confidential Information should be limited to those of your employees or agents who genuinely require such access for the Permitted Uses. If you disclose any Confidential Information to your employees or agents, you must ensure that they adhere to these Terms, as well as any relevant laws or agreements pertaining to the handling of such information. It is your responsibility to be accountable for any breaches of these Terms committed by your employees or agents.You are obligated to take all necessary precautions, employing at least a reasonable standard of care, to safeguard the confidentiality of the Confidential Information. This includes implementing reasonable security measures and adopting all necessary precautions that you would typically employ to protect your own confidential information.If you or any of your representatives are requested or legally required by any government or governmental agency or authority to disclose any of the Confidential Information, whether through questioning, information requests, subpoenas, civil investigative demands, or any other form of investigation, you must promptly notify Health Force in writing. This notification allows Health Force the opportunity to seek a protective order or other suitable remedy. Alternatively, at Health Force's sole discretion, they may choose to waive compliance with the confidentiality provisions outlined in these Terms. You agree not to oppose any action taken by Health Force to obtain a protective order or appropriate remedy. If no protective order or remedy is obtained or Health Force waives compliance with these Terms, you agree to provide only the portion of the Confidential Information that is legally required, as advised.In the event that you discover or are notified of a security breach or potential breach concerning any Confidential Information provided or made available by Health Force, you must take immediate action. Specifically, you must: (i) Notify Health Force of the breach or potential breach using the address specified below.(ii) Conduct a thorough investigation into the breach or potential breach and promptly inform Health Force of the investigation results.(iii) Provide reasonable assistance to Health Force as needed to enforce their rights and comply with any state or federal laws regarding the notification of security breaches.It is important to note that, notwithstanding any other provision in this agreement, Confidential Information does not include information, data, materials, documents, patents, or ideas that fall into the following categories:(i) Information that was already in the public domain before disclosure or subsequently became public without any violation of these Terms by you or your representatives.(ii) Information that was in your possession on or before the date of disclosure, as demonstrated by you, unless you acquired it from a third party who was under an obligation of confidentiality to Health Force.(iii) Information acquired by you from a third party who was not under an obligation of confidentiality to Health Force.(iv) Information independently developed by you without the use of Confidential Information or any other breach of these Terms.
Health Force’s Retention of Proprietary Rights
Health Force provides you with a limited, revocable, temporary, non-exclusive, and non-transferable right to access and use the Health Force Sites in accordance with these Terms. However, you explicitly acknowledge and agree that Health Force does not transfer any ownership, intellectual property interest, or title in or to the Health Force Sites, the Confidential Information, or any information or data contained therein to you or any other party.All content and materials on the Health Force Sites, including but not limited to text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including HTML code), programs, software, products, information, and documentation, as well as the design, structure, selection, coordination, expression, "look and feel," and arrangement of such content, are owned, controlled, or licensed by Health Force unless otherwise indicated. This harm cannot be easily quantified in monetary damages, and Health Force would not have an adequate remedy through legal means. Therefore, you agree that Health Force has the right, in addition to other available remedies, to seek and obtain an injunction or other appropriate equitable relief from a court of competent jurisdiction to prevent or address any breach of your obligations under the Terms. By agreeing to this, you waive any requirement for Health Force to post a bond or provide security if injunctive or equitable relief is sought or awarded to enforce the Terms.
2. You may not transfer or assign your rights or obligations to any other person or entity without obtaining prior written consent from Health Force.
3. No waiver, delay, or failure by Health Force in exercising any right or provision under the Terms shall be considered a waiver of any other provision or create a continuing waiver.
4. The Terms do not create a joint venture, partnership, employment, or agency relationship between you and Health Force as a result of your use of the Health Force Sites.
5. The headings used in the Terms are for convenience and reference purposes only and do not have any bearing on the interpretation or construction of the Terms.6. The Terms constitute the entire agreement between you and Health Force regarding the use of the Health Force Sites. The Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Health Force that pertain to your use of or access to the Health Force Sites. If you are or were an employee of Health Force, any terms in employment policies or written agreements, signed with the requisite authority from Health Force's CEO, relating to your employment with Health Force (including any arbitration agreements), shall take precedence over the Terms to the extent they are deemed inconsistent.
